TERMS AND CONDITIONS OF SALE (DROPSHIP WHOLESALE)

1. Definitions
In these Terms:
- “Company” means Ecoindia Direct Ltd, registered in the United Kingdom.
- “Retailer” means the business customer purchasing goods for resale.
- “End Customer” means the final consumer receiving the goods.
- “Goods” means furniture products supplied by the Company.
- “Contract” means any agreement between Ecoindia Direct Ltd and the Retailer.
2. Basis of Contract
2.1 These Terms apply to all sales and dropshipping arrangements between the Company and the Retailer.
2.2 By placing an order, the Retailer agrees to be bound by these Terms.
2.3 These Terms prevail over any conflicting terms proposed by the Retailer unless agreed in writing.
3. Product Information, Pricing & Availability
3.1 Ecoindia Direct Ltd retains the right to:
- Withdraw products;
- Amend specifications;
- Change pricing;
at any time without prior notice.
3.2 The Company will use reasonable endeavours to notify the Retailer of material changes in advance where practicable.
4. Orders & Processing
4.1 Orders are subject to acceptance by the Company.
4.2 The Company will endeavour (but is not obliged) to:
- Process orders within one (1) working day;
- Provide dispatch confirmation and tracking details.
4.3 If delays occur, the Company will notify the Retailer as soon as reasonably possible.
4.4 The Retailer may request a full refund only prior to courier collection.
5. Delivery
5.1 Delivery is available to Mainland Great Britain only.
5.2 Additional surcharges may apply to certain areas, including parts of the Scottish Highlands. The Retailer must confirm such costs before ordering.
5.3 The Company may use third-party couriers (including but not limited to Parcelforce,XDP) for delivery
5.4 The Company is not responsible for courier delays once Goods have been dispatched but will assist with tracking and communication.
6. Failed Deliveries
6.1 If delivery fails due to:
- Incorrect address provided;
- End Customer refusal;
- End Customer unavailability;
the Company will refund the product cost only, excluding original delivery charges, once the Goods are returned.
7. Loss in Transit
7.1 If Goods are confirmed lost by the courier:
- The Company will issue a full refund (including delivery costs);
- Refunds will be processed within 14 days of courier confirmation.
8. Returns & Refunds
8.1 Damaged or Faulty Goods
- Claims must include photographic evidence.
- Goods must be returned in original packaging.
- The End Customer must be available for collection.
The Company may, at its discretion:
- Provide a replacement; or
- Issue a full refund (including delivery costs) upon return.
8.2 Minor Damage
Where damage is minor and accepted by the End Customer:
- A partial refund or replacement parts may be offered;
- Any agreed refund (up to 25%) may be shared between the Company and Retailer.
8.3 Change of Mind (Distance Selling)
8.3.1 The Company will accept returns within 30 days of delivery, provided:
- Goods are unused;
- Returned in original packaging;
- In resalable condition.
8.3.2 Returns may be:
- Arranged by the Retailer; or
- Collected via the Company’s courier (charges apply).
8.3.3 Refunds will be:
- The wholesale product price;
- Minus original delivery costs;
- Minus return courier costs (if applicable).
8.3.4 Refunds will be processed within 7 working days of inspection.
9. Liability
9.1 Nothing in these Terms excludes liability for:
- Death or personal injury caused by negligence;
- Fraud or fraudulent misrepresentation;
- Any liability that cannot be excluded under UK law.
9.2 Subject to clause 11.1, the Company shall not be liable for:
- Indirect or consequential loss;
- Loss of profit, revenue, or business.
9.3 The Company shall not be liable for injury or damage arising from:
- Misuse of the Goods;
- Failure to follow instructions;
- Normal wear and tear.
10. Compliance with Consumer Law
10.1 The Retailer is responsible for complying with:
- The Consumer Rights Act 2015;

The Consumer Contracts Regulations 2013;
when selling to End Customers. - 10.2 The Retailer acts as the seller to the End Customer and is responsible for handling consumer obligations.
